Terms of Service

Zinye Technologies Ltd · Effective 1 January 2026 · Version 1.0

These terms govern your access to and use of the Zinye managed ERP service. By creating an account or using the service, you agree to these terms. Please read them. If something is unclear, email us at [email protected] before you sign up.

1. The service

Zinye is a fully managed ERP service operated by Zinye Technologies Ltd, incorporated in Ontario, Canada. The service is built on ERPNext, an open-source ERP platform, and includes:

  • A hosted, single-tenant ERPNext instance in your chosen region (EU, US, or APAC).
  • Automated backups, security patching, and infrastructure monitoring.
  • Access to all modules included in your plan: accounting, inventory, HR, payroll, sales CRM, purchasing, manufacturing, and more.
  • E-invoicing integrations for applicable regulatory standards (Peppol, NRS, India IRN, Saudi ZATCA, Mexico CFDI) as included in your plan.
  • Support via email and the in-app help desk.

The service does not include custom development work, on-premise installation, or ERPNext modules not listed in your plan. Custom work is available as a separate professional-services engagement.

2. Eligibility

You may use Zinye if:

  • You are at least 18 years old and legally able to enter into a binding contract.
  • You are acting on behalf of a legal entity, you have the authority to bind that entity to these terms.
  • Your use of the service does not violate any applicable law in your jurisdiction.

We reserve the right to refuse service to anyone at our discretion, including where we have reason to believe the intended use violates these terms or applicable law.

3. Account registration

When you register, you provide your name, work email address, company name, and a password. You are responsible for:

  • Keeping your login credentials confidential. Do not share your password or session token with anyone outside your organization.
  • All activity that occurs under your account, whether or not authorized by you.
  • Notifying us immediately at [email protected] if you suspect unauthorized access to your account.
  • Ensuring that the information you provide is accurate and kept up to date.

Each account is for a single legal entity. You may add as many users as your plan allows. Each user seat is one named individual; sharing a seat between multiple people is not permitted.

4. Subscription and billing

Free trial

New accounts receive a 14-day free trial with full access to all features on the Starter plan. No credit card is required to start the trial. At the end of the trial, your account is suspended unless you add a payment method and activate a paid plan. Data is retained for 30 days after suspension before being permanently deleted.

Plans and pricing

Zinye is priced per seat per month. The Starter plan begins at $19 per seat per month when billed monthly, with lower per-seat pricing on annual billing and higher-tier plans. Full pricing is published at zinye.com/pricing.

Billing cycle and auto-renewal

Subscriptions renew automatically at the end of each billing period (monthly or annual, as selected). Your payment method is charged on the renewal date. We send a renewal reminder 7 days before the charge. You can view upcoming charges and payment history in your account dashboard.

Seat changes

Adding seats during a billing period is prorated to the next renewal date. Reducing seats takes effect at the next renewal date; no credit is issued for removed seats during the current period.

Cancellation

You may cancel your subscription at any time from the account dashboard or by emailing [email protected]. Cancellation takes effect at the end of the current billing period. Your account remains active and fully functional until that date.

Refund policy

We do not issue refunds for partial months or unused portions of annual plans, except where required by applicable consumer-protection law. If you cancel an annual plan within 7 days of the initial purchase and have not made significant use of the service (fewer than 10 transactions entered), contact us and we will consider a discretionary refund.

Taxes

Prices are shown exclusive of applicable taxes. We will add GST, VAT, or other sales taxes to invoices as required by law in your jurisdiction. You are responsible for any withholding taxes applicable to your payments to us.

Past-due accounts

If a payment fails, we will retry the charge three times over 7 days and notify you by email. If payment remains outstanding after the retry period, your account is suspended. You have 30 days from suspension to pay and reactivate before the account is permanently terminated and data deletion is scheduled.

5. Acceptable use

You agree not to use Zinye to:

  • Violate any law or regulation, including financial reporting obligations, tax law, and anti-money-laundering rules.
  • Store, transmit, or process content that is illegal, defamatory, harassing, or infringes the rights of any third party.
  • Attempt to gain unauthorized access to Zinye systems, other tenants' data, or any third-party system.
  • Reverse-engineer, decompile, or disassemble any part of the Zinye service or the underlying ERPNext software (beyond what is permitted by the ERPNext open-source license).
  • Resell or sublicense access to the service without our written consent.
  • Use the service in a way that places unreasonable load on our infrastructure, for example, running automated bulk-import scripts continuously without rate limiting.
  • Use the service to process, store, or transmit protected health information (PHI) under HIPAA without first entering into a Business Associate Agreement with us.

We may suspend or terminate accounts found in violation of these rules. For serious violations, we may act without notice. For minor or first-time violations, we will generally give you notice and a reasonable opportunity to correct the issue.

6. Your data

You own your data

All business data you enter into Zinye belongs to you. This includes invoices, contacts, transactions, employee records, inventory data, and any other records created in your tenant. We claim no ownership interest in your data. We process it solely to provide the service.

Data export

You can export your data at any time, in any of the following formats:

  • CSV: available from any list view in the application for any DocType.
  • JSON: full document-level export via the ERPNext Data Export tool.
  • SQL backup: a full MariaDB dump of your tenant database, available on request for Scale and Enterprise plans, or from the backups dashboard on all plans.

Exports are available in the application at no additional cost. We do not charge export fees.

Data after cancellation

After your subscription ends, we retain your data for 60 days to allow re-activation or final export. You can request a SQL dump during this window at no cost. After 60 days, your data is permanently and irreversibly deleted from all Zinye systems, including backups.

We do not use your data for training

Your business records are not used to train machine-learning models, shared with advertisers, or sold to third parties. See our Privacy Policy for full details on how we handle your data.

7. Uptime and SLA

Uptime commitment

We commit to 99.97% monthly uptime for the Zinye application, measured from our monitoring systems. This corresponds to a maximum of approximately 13 minutes of downtime per month.

Uptime is calculated as:

Uptime % = ((total minutes - downtime minutes) / total minutes) x 100

Exclusions

The following are not counted as downtime for SLA purposes:

  • Scheduled maintenance, announced at least 48 hours in advance via status.zinye.com and in-app notice.
  • Downtime caused by your actions, misconfiguration, or third-party integrations you control.
  • Force majeure events: natural disasters, government actions, widespread internet outages.
  • Brief response-time degradation that does not render the application unavailable.

SLA credits

If monthly uptime falls below 99.97%, you are eligible for service credits applied to your next invoice:

Monthly uptime Credit
99.90% to 99.97% 10% of monthly fee
99.00% to 99.90% 25% of monthly fee
Below 99.00% 50% of monthly fee

Credits are your sole remedy for SLA breaches. To claim a credit, email [email protected] within 30 days of the incident with the incident date and a brief description. Credits are not paid as cash and do not carry over if not used within the billing period following the incident.

Real-time and historical uptime data is published publicly at status.zinye.com. Subscribe to incident notifications at that page.

8. Intellectual property

Zinye's IP

The Zinye brand, product design, website, marketing materials, and any proprietary software we have built are owned by Zinye Technologies Ltd. Nothing in these terms grants you any rights in our intellectual property beyond the limited right to use the service for your internal business purposes during the term of your subscription.

ERPNext open-source components

The core ERP functionality is provided by ERPNext, which is licensed under the GNU General Public License v3 (GPL-3.0). Your use of ERPNext through the Zinye service is also subject to the GPL-3.0. We do not restrict your rights under that license. Source code for ERPNext is available at github.com/frappe/erpnext.

Your content

You retain all rights to the data, documents, and content you create inside Zinye. By using the service, you grant us a limited, non-exclusive license to store, process, and transmit your content solely to provide the service. We do not acquire any other rights in your content.

Feedback

If you submit suggestions, bug reports, or feature requests, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose, including incorporating it into the service. We are not obligated to compensate you for feedback.

9. Limitation of liability

Disclaimer of warranties

The service is provided "as is" and "as available." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by applicable law.

Limitation of damages

To the maximum extent permitted by applicable law, Zinye Technologies Ltd and its directors, employees, and contractors will not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, revenue, data, business, or goodwill.
  • Any damages arising from unauthorized access to or alteration of your data.
  • Any damages resulting from service interruptions, delays, or failures.

Our total cumulative liability to you for any claim arising out of or related to these terms or the service is limited to the greater of: (a) the total fees paid by you to Zinye in the 12 months preceding the event giving rise to the claim, or (b) USD 100.

Essential basis

You acknowledge that the limitations in this section reflect a reasonable allocation of risk and are an essential element of the basis of the bargain between us. Some jurisdictions do not allow certain limitations of liability; in those jurisdictions, our liability is limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Zinye Technologies Ltd from any third-party claims, damages, and expenses (including reasonable legal fees) arising from your use of the service in violation of these terms, your negligence or willful misconduct, or your infringement of any third-party rights.

10. Governing law and disputes

These terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Any dispute arising out of or related to these terms or the service will be resolved by binding arbitration under the rules of the ADR Institute of Canada, with proceedings held in Toronto, Ontario, in English. Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction in Ontario.

Notwithstanding the foregoing, if you are a consumer located in a jurisdiction where the above arbitration clause is not enforceable, you may bring claims in the courts of your local jurisdiction.

11. Changes to these terms

We may update these terms as the service evolves or as required by law. When we make material changes, we will:

  • Update the effective date at the top of this page.
  • Email all account administrators at least 30 days before the change takes effect for material changes, and 14 days for minor changes.
  • Display an in-app notice for 30 days following the change.

Continued use of the service after the effective date of updated terms constitutes your acceptance of those terms. If you do not agree to the updated terms, you must stop using the service and cancel your subscription before the effective date.
